Agreement and operator
These Terms of Service and End-User License Agreement govern your use of TenthLedger, operated by 1000597982 Ontario Inc. (operating as Tenth Ledger). Contact: hello@tenthledger.com. By using the software, you agree to these terms on behalf of yourself and, if authorized, your firm.
Licence to use the software
We grant you a limited, non-exclusive, non-transferable licence to use TenthLedger for your firm’s lawful practice management while your account is authorized. This licence does not transfer ownership of the software or allow resale of it.
Accounts and invitation-only access
Access is by invitation. Keep sign-in credentials secure and use your own account. Your firm controls membership and roles and is responsible for users it authorizes. Tell us promptly about unauthorized access.
Firm responsibilities
Your firm is responsible for the accuracy and legality of the information it enters or imports, professional judgement, and obtaining the right and any required client consent to provide and process client information. Verify records, deadlines, tax information and work products before relying on them.
AI output and professional advice
AI output may be incomplete or incorrect and must be reviewed by a firm user before anything is saved or relied on. TenthLedger does not provide accounting, tax, legal or other professional advice and does not replace professional judgement.
Third-party integrations
Third-party services have their own terms and availability. The QuickBooks Online connector is not enabled yet. When available, its intended use is read-only accounting access, not writing to QuickBooks, moving money, payment processing or payroll. Your use of QuickBooks is subject to Intuit’s terms. Intuit is not responsible for TenthLedger, its operation, or its output. You must have authority to connect the company and may disconnect it.
Acceptable use
Do not use the software unlawfully, upload data you have no right to provide, share unauthorized access, interfere with the service, introduce malicious software, or attempt to bypass security or access another firm’s information.
Your data
The customer owns its data. You grant us permission to process it as needed to provide, support and secure the service as described in our Privacy Policy. We do not acquire ownership of your records.
Beta service and disclaimers
TenthLedger is a beta service provided “as is” and “as available,” to the extent permitted by law. Features may change or be unavailable. We do not guarantee uninterrupted operation, error-free output, or fitness for a particular purpose. Maintain appropriate copies of important records.
Limitation of liability
To the extent permitted by law, we are not liable for indirect, incidental, special or consequential losses, including lost profits, lost opportunities or losses arising from reliance on unreviewed output. Our total liability relating to the service is limited to amounts your firm paid us for the service during the twelve months before the event giving rise to the claim. Nothing in these terms excludes liability or rights that cannot lawfully be excluded or limited.
Termination and data export
You may stop using the service and request account closure. We may suspend or terminate access for a breach of these terms, security risks, or discontinuation of the service, with notice where practicable. Before closing your account, contact us to arrange an export of your firm’s records. Retention and deletion are described in the Privacy Policy; integration disconnection does not itself delete imported data.
Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
Changes and contact
We may update these terms and their date. We will provide notice of material changes as appropriate. Continued use after updated terms take effect constitutes acceptance, subject to applicable law.
